1. Wholesale Account Terms
1.1 Eligibility Requirements
To qualify for a wholesale account, you must:
- Be a legally registered business entity with valid tax ID
- Provide complete and accurate business documentation
- Agree to our minimum order quantities (MOQs)
- Not be a direct competitor of Innovista International
- Comply with all applicable laws and regulations
1.2 Account Approval
We reserve the right to:
- Approve or reject applications at our sole discretion
- Request additional verification documents
- Limit purchase quantities for new accounts
2. Ordering and Payment
2.1 Pricing Structure
- All prices are in USD and exclusive of taxes unless stated
- We reserve the right to adjust prices due to market conditions
- Volume discounts available for qualifying orders
2.2 Payment Terms
Standard Terms:
- New accounts: Payment required before shipment
- Established accounts (6+ months): Net 30 terms available
- Late payments subject to 1.5% monthly interest
2.3 Accepted Payment Methods
We accept:
- Major credit cards (Visa, Mastercard, Amex)
- Bank wire transfers
- ACH payments
- PayPal for orders under $5,000
3. Shipping and Delivery
3.1 Shipping Options
- Standard Ground (3-5 business days)
- Expedited Shipping (2-3 business days)
- Freight for large orders (quoted separately)
3.2 International Orders
Additional considerations apply:
- Customer responsible for all duties, taxes, and customs fees
- Export restrictions may apply to certain products
- Shipping times vary by destination
4. Returns and Refunds
4.1 Return Policy
- Unopened, resalable merchandise may be returned within 30 days
- 15% restocking fee applies to non-defective returns
- Customer pays return shipping costs
- Special order items are non-returnable
4.2 Damaged or Defective Products
For quality issues:
- Notify us within 5 business days of receipt
- Provide photographic evidence
- We will replace or refund at our discretion
5. Intellectual Property
- All website content, product designs, and branding are our exclusive property
- Unauthorized use of our trademarks is prohibited
- Product images may not be used without written permission
- Wholesale pricing is confidential and may not be disclosed publicly
6. Limitation of Liability
Innovista International shall not be liable for:
- Consequential, incidental, or punitive damages
- Product misuse or improper application
- Third-party actions or service interruptions
- Errors in product descriptions or specifications
7. Governing Law and Disputes
- These Terms shall be governed by Florida law
- Disputes will be resolved in Tampa, FL courts
- Prevailing party entitled to reasonable attorney fees
8. Changes to Terms
We may modify these Terms at any time. Continued use after changes constitutes acceptance.
